Saraf Gurukul Private Limited also has rights to all trademarks and trade dress and specific layouts of this webpage, including calls to action, text placement, images and other information.

Tax. If you purchase any Products, you will be responsible for paying any applicable taxes.

SHIPPING AND DELIVERY: Our classes are completely online and materials are provided in soft copies to our students. So shipping and delivery option is not relevant for us.

Saraf Gurukul Private Limited is a training Academy and we charge a fee for delivering the best in class training, taking mock examinations when needed and preparing students for the exams. Apart from this, in good faith, at times we do help students for other activities like registration process with the parent Institute or guide them with study materials. However we are not liable for any of these gestures besides imparting the training for the course which we any learner has signed up for. Saraf Gurukul Private Limited does not take any responsibility for providing the course materials for any qualification. Saraf Gurukul Private Limited ’s responsibility is strictly limited to the training classes, exams and doubt removal of the programs, student signs up for. The student has to make his own assessment of which course study materials, he/she needs to purchase for studying. If a student relies on any suggestions given by faculties/ staff of Saraf Gurukul Private Limited , it would solely be at his/her own discretion.

INDEMNIFICATION

You will release, indemnify, defend and hold harmless Saraf Gurukul Private Limited, and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys’ fees and expenses, of third parties relating to or arising out of (1) this Agreement or the breach of your warranties, representations and obligations under this Agreement; (2) the Website content or your use of the Website content; (3) the Products or your use of the Products (including Trial and FREE Products); (4) any intellectual property or other proprietary right of any person or entity; (5) your violation of any provision of this Agreement; or (6) any information or data you supplied to Saraf Gurukul Private Limited. When Saraf Gurukul Private Limited is threatened with suit or sued by a third party, Saraf Gurukul Private Limited may seek written assurances from you concerning your promise to indemnify Saraf Gurukul Private Limited; your failure to provide such assurances may be considered by Saraf Gurukul Private Limited to be a material breach of this Agreement. Saraf Gurukul Private Limited will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or Products, with counsel of Saraf Gurukul Private Limitedchoice at its expense.Saraf Gurukul Private Limited will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend Saraf Gurukul Private Limited against any claim, but you must receive Saraf Gurukul Private Limited prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Agreement or your use of the Website or Products.

Restricted access

Access to parts of the Sites are restricted to authorized persons. If you believe you have been granted access to any document or file by mistake, please exit the restricted section immediately and contact us as soon as possible.

You may be required to enter your username and password to enter restricted areas of the Sites. You must not allow any other person to use your password. If you believe someone else knows your password, you must change it immediately.

We reserve the right to remove users from the authorized list of users at any time.

Parts of the Sites incorporate encryption technology but even if there is encryption technology in place we cannot guarantee that unauthorized individuals will not be able to access confidential information hosted on or downloaded from the Sites.

The documents and files hosted on restricted parts of the Sites are confidential. You must not distribute the documents and files hosted in these areas except to persons authorized to read them. If you believe that you may have been granted access to a document or file by mistake you must not download it, copy it, use it for any purpose or disclose its contents to any other person.

If you access the Sites from a shared PC, during your access to the Sites you will be responsible for all instructions received by us between the time you pass the security procedure until you exit the Sites. This includes any input errors or instructions sent by someone other than you whilst you are still logged onto the Sites.

Recording of any live sessions are illegal. The class subscribed to the students are only entitling them to access those classes and recordings for the said period. Any malpractice with our Intellectual Property will entitle us to take strong legal action against the students.

We use ZOOM for our LIVE classes. However we want to clarify that we will not take any responsibility for any issue that might occur because of the ZOOM app or any other virus breakout on your system.

Email communication is not secure and there is no guarantee that an email will be delivered within a reasonable time, or at all. We advise you to contact us by telephone with any information that must reach us by certain deadlines.

Contributions

You are solely responsible for your Contributions and you shall ensure that your Contributions do not:

1. contain any material which is defamatory of any person;
2. contain any material which is obscene, offensive, hateful or inflammatory;
3. promote sexually explicit material;
4. promote violence;
5. promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
6. infringe any copyright, database right or trade mark of any other person;
7. be likely to deceive any person;
8. be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
9. promote any illegal activity;
10. be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;
11. be likely to harass, upset, embarrass, alarm or annoy any other person;
12. be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
13. give the impression that they emanate from us, if this is not the case; or
14. advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

You retain the ownership rights in your Contributions and grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, trademarks, database rights and intellectual property rights you have in the Contributions, in any media known now or in the future. In addition, you waive all moral rights you have in the Contributions to the fullest extent permitted by law. You represent and warrant that you are entitled to grant such a license to us.

You agree to indemnify us for any cost, expenses, damages or liabilities we incur due to your use of the Sites or otherwise relating to any of your Contributions. We reserve the right to remove or edit any Contributions as we see fit, without warning and without being required to provide reasons, and/or to make such information available to regulatory bodies or law enforcement authorities. Our decision on this shall be final. Further, we reserve the right to suspend or terminate, or bar access to, all or part of the Sites.

We shall not be liable to you for any loss you may incur as a result of us taking any of the actions described in clause 4.3 nor for the actions or inactions of other users, including anything contained in your or any third party’s Contributions.

In the course of using the Sites, you may submit your personal data and/or the personal data of others. It is your responsibility to ensure this information is accurate and up-to-date. 

You agree that you are responsible for the personal data that you submit to the Sites, including the personal data of others. If you submit the personal data of others to the Sites, you must ensure that you have all the rights and permissions needed to use that personal data in connection with the Sites and any services offered through the Sites. We are not responsible for any actions you take with regards to submitting the personal data of others to the Sites. Please do not add the personal data of others to the Sites unless you have first obtained consent to do so.

AGREEMENT TO BE BOUND

By using this Website or ordering Products, you acknowledge that you have read and agree to be bound by this Agreement and all terms and conditions on this Website.

GENERAL

Force Majeure: Saraf Gurukul Private Limited will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott, epidemic situation or any other similar situations.

Cessation of Operation: Saraf Gurukul Private Limited may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and distribution of the Products.

Entire Agreement: This Agreement comprises the entire agreement between you and Saraf Gurukul Private Limited and supersedes any prior agreements pertaining to the subject matter contained herein.

Effect of Waiver: The failure of Saraf Gurukul Private Limited to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

Governing Law: This Website originates from the Kolkata, West Bengal, India. This Agreement will be governed by the laws of the State of West Bengal without regard to its conflict of law principles to the contrary. Neither you nor Saraf Gurukul Private Limited will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in Kolkata. By using this Website or ordering Products, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement. You hereby waive any right to trial by jury arising out of this Agreement and any related documents.

Statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Products or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Waiver of Class Action Rights: BY ENTERING INTO THIS AGREEMENT, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO JOIN CLAIMS WITH THOSE OF OTHER IN THE FORM OF A CLASS ACTION OR SIMILAR PROCEDURAL DEVICE. ANY CLAIMS ARISING OUT OF, RELATING TO, OR CONNECTION WITH THIS AGREEMENT MUST BE ASSERTED INDIVIDUALLY.

Termination: Saraf Gurukul Private Limited reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and Saraf Gurukul Private Limited may, in its sole discretion and without advance notice to you, cancel any outstanding orders for Products. If your access to the Website is terminated, Saraf Gurukul Private Limited reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Website. This Agreement will survive indefinitely unless and until Saraf Gurukul Private Limited chooses, in its sole discretion and without advance to you, to terminate it.

Assignment: You may not assign your rights and obligations under this Agreement to anyone. Saraf Gurukul Private Limited may assign its rights and obligations under this Agreement in its sole discretion and without advance notice to you.

Important points: 

1) Saraf Gurukul Private Limited strongly advise to review the demo classes properly, and then take the decision. Demo classes are freely uploaded on our official YouTube channel.
2) Please note that any Fees paid to the Saraf Gurukul Private Limited are non-refundable. 
3) LIVE Online classes can be accessed on compatible mobile phone, tablet or laptop.
4) For accessing the  Recording of the classes a software needs to be installed in your system. For accessing the Saraf Academy Notes & the Software for running the recorded classes, the System Requirements are:  A personal Laptop or desktop with windows Operating System having Minimum 4GB RAM and a Gmail id.
5) To view the class recordings on your mobile, you can do the same on any Android Mobile by making an additional payment.
6) Validity of the ACCA(UK), CIMA(UK), CPA(US) & CMA(US) classes is 1 Year, for CIMA case study – classes are valid for only 2 terms and the validity for Diploma in IFRS program is 6 months.

7) Grant of Exemption of any papers for any course taught by Saraf Academy  is at the sole discretion of the Parent Institute (ACCA, AICPA,CIMA & IMA) and Saraf Academy doesn’t take any responsibility for the same.

8)The Saraf Academy Training Fee includes LIVE Online Training Classes, Recorded Classes & Saraf Academy Inhouse Study Resources in soft copy for the subscribed subject.

9) Student shall be expelled from the class and legal action shall be taken if he/she is found engaged in recording (audio/video/photography) and/or circulation of the same in any mode or manner.

  1. Distribution/Circulation of any notes and other resources shared with the student by Saraf Academy in any form (photocopy or scanned copy) is strictly prohibited.
  2. ACCA Result service is the mechanism of gathering student data to allow for the analysis of pass rates. Student consent will be taken for the results, through ACCA’s results service for the purposes of monitoring performance.
  3. Saraf Gurukul Private Limited reserves it’s right to change/extend the Schedule of classes at any time during the course of the term.
  4. Saraf Gurukul Private Limited shall not be responsible for the loss/theft of student’s belongings at its premises. Students are required to take care of their personal belongings.

14.  The fees for any of the courses can be modified by the Institute and/or the Saraf Gurukul Private Limited without any prior notice. 

  1. Visa – Saraf Academy does not take any responsibility for the Visa applications of any student. It is thus totally the responsibility of the student to comply with any/all Visa requirements

16. Course transfers – Students will not be allowed to transfer the course they have subscribed for, For eg: If  a student subscribes for a particular subject of a particular course he will need to stick to that particular subject only. The fees paid once will not be adjusted against any other subject/course under any circumstances.

Raising a Complaint:

In case a student wants to raise any issue/complaint, he/she can do so by mailing us at classes@saraf.academy or you can call us at +91 8444040402/06
Based on the nature of the complaint, the matter will be taken up by the concerned authorities and a resolution will be provided. A time frame based on the nature of the complaint will be communicated to the student.

In case the candidate is not satisfied with the resolution he can escalate the matter and write to studyresources@saraf.academy Student  has to clearly mention the reason for his/her dissatisfaction with the resolution provided to him. A complaint form will then be shared with them over emailt to check on the issue more precisely.

All students’ related information will be kept confidential and protected.

If the complaint is not handled by Saraf Academy to their satisfaction, the student then has the option to escalate their complaint to the ACCA Institute. If you have exhausted both your learning provider complaint’s process and ACCA’s, you can escalate to the appropriate regulator. A few important pointers for the Mobile App Usage

1. The Mobile App can be used on Android phones/Tablets with SIM cards
2. The Mobile App can be used only on one phone for doing the subscribed classes
3. For free classes and free resources you can use any number of android devices. So the Mobile App is free for download through the play store on Android phones.

he Mobile App on your phone and any one of the following:
1. Only one window based personal laptop 
2. Office Laptop (you should have admin rights)

Class Views: The classes can be seen for double the time of the total class duration you have subscribed. Suppose the course you have subscribed for is having a total of 100 hours of lectures, you can VIEW that course class for 200 hours on a laptop and/or mobile phone in total. Under any condition the classes can not be seen beyond the time allotted. You get the access for a period of 1 year (in case of IFRS course it is valid for 6 months) or double of course hours, whichever expires earlier. (Eg: 1 year or 200 hrs whichever expires earlier).

At any given time, you can view the classes on any one device, the mobile or your laptop. Thus, when the class recordings are running on your Mobile it would not run simultaneously on your laptop and vice versa.

Classes through the App will only be offered to students who have enrolled with Saraf Academy post 1.07.2020

Students who have enrolled with Saraf Academy in the period 1.07.2020 - 30.6.2021 will need to pay a token amount of INR 1000 plus 18%GST  = INR 1180 as the Access fee for the Mobile App. This would be valid for a period of 1 year and valid for 6 months in case of the IFRS program.

Please note that if existing students want to continue their classes through our existing software, they can continue to do so without purchasing the mobile App subscription. However the existing software will be running till 30.09.2021 only. Post September 2021, all class recordings will only be available on the Mobile App as it is difficult to run both systems parallely.
